Change of Name

Company’s name is considered as the identity of Company. A Company can decide to change name for various reasons. To understand change of name procedure of the company first we need to understand clauses of Memorandum of Association. Memorandum of Association of a Company has five important clauses, a) Name Clause b) Registered Office Clause c) Object Clause d) Liability Clause e) Share Capital Clause. Change of name of company means alteration of Name Clause of Memorandum of Association. Section 13 of Companies Act, 2013 deals with alteration of Name Clause of Memorandum of Association. Any clause of Memorandum of Association can be changed only with the approval of its Share Holders by passing a Special Resolution. Therefore company needs to call an Extra-ordinary General Meeting to give effect to alteration of its Name Clause.

Change of Name

  • A Private Limited or Public Limited Company is entitled to change its name with approval of its Share Holders in a General Meeting by passing Special Resolution.

  • There can be many reasons for change of name of company like diversification of business, expansion in new geographies, or addition of new products for trading or manufacturing etc.

  • Before applying for change of object of company, the Board of Directors has to give in principle approval for change of name in a meeting of Board of Directors. After getting approval from the Board of Directors an application is made to the ROC for reservation of name.

  • On getting approval from the ROC for name approval, an Extra-ordinary General Meeting has to be called.

  • Approval of Share Holders in a General Meeting is must for affecting change of name. A Special Resolution has to be passed in a General Meeting approving the change of name.

  • A company has to write its old name with the new name for a period of one year from the date of approval of change of name by ROC.

  • The rights and obligations of the company does not change after change of name of Company. If there are any legal proceedings by the company or against it, the same continues with the new name of the company.
