Registered Office of Company

Registered Office of the Company is the address where all the official communications of the Company are received. Every Company incorporated in India must provide one address within India which is treated as Registered Office of the Company. In this article we will discuss about the process of selection of a Registered Office and rules regarding Registered Office.

Apart from Registered Office, the Company may have its Corporate Office, Administrative Office, Factory or Works etc. The Registered Office is different from all the other types of offices. The jurisdiction of the Registrar of Companies under which the Company will be incorporated depends upon the address of the Registered Office of the Company. In case of shifting of Registered Office of the Company, the Company has to intimate the Registrar of Companies within a specific period and follow specific procedure for shifting of Registered Office depending upon the address of new Registered Office.

Requirement of Address of Registered Office during Incorporation Process:

It is important to declare address of the proposed Registered Office of the Company at the time of incorporation of Company. The address of Registered Office of the Company can be declared by producing required documents as listed below:

  • Conveyance / Lease Deed / Rent Agreement along with rent receipt;
  • Copies of utility bills (Telephone / Electricity / Gas / Mobile) not older than two months;
  • No Objection Certificate (NOC) from the Owner of the Registered Office premises.

The name mentioned on the utility bills should be the same as it is mentioned on the Lease Agreement or NOC. In case of shifting of Registered Office of the Company, all the above documents are required regarding address of the new Registered Office of the Company.

A Registered Office of the Company cannot be a vacate land or a building which is under construction. It is not necessary that the Registered Office of the Company should be commercial premises only. Residential premises can also be the Registered Office of the Company.

Shifting of Registered Office:

Company can shift its Registered Office by filing e form INC 22 with the Registrar of Companies. There are different rules for shifting of Registered Office depending upon the address of the new Registered Office of the Company.

            Shifting within local limits of city, town or village

In this case the Registered Office can be shifted by passing resolution at the Board Meeting of the Company and filing of form INC 22.

Shifting outside the local limits of city, town or village but within jurisdiction of the same ROC and state

In this case the Registered Office can be shifted by passing Special Resolution at extraordinary general meeting of the Company and filing Form INC 22 and MGT 14.

Shifting outside jurisdiction of ROC

In this case the Registered Office can be shifted by passing Special Resolution at extraordinary general meeting and seeking approval of the Regional Director.

            Shifting outside the state

In this case the Registered Office can be shifted by passing Special Resolution at extraordinary general meeting and seeking permission of the Central Government.
